These Terms of Service set out the general terms for website design, development, optimisation, support, and related services provided by Cosmic Build Digital Studio, operated by Zenith Star Media.

A project proposal, statement of work, order form, or written agreement may add to or vary these terms. Where there is a conflict, the specifically agreed project document takes priority.

2. Scope and proposal

The agreed scope, deliverables, timeline, fees, payment schedule, revision allowance, and exclusions are set out in the proposal or statement of work.

Anything not clearly included is outside scope. Examples may include additional pages, full copywriting, photography, branding, custom software, advanced integrations, paid plugins, hosting, domain fees, legal review, translation, and large content migrations.


3. Client responsibilities

The client agrees to provide accurate information, timely decisions, required access, approved content, legal details, brand assets, and one clear feedback channel.

The client confirms that it has the right to use all text, images, logos, fonts, data, and other materials supplied for the project. The client is responsible for the legality and accuracy of its business claims, policies, offers, and regulated content.

Delays in feedback, content, access, or approval may move the schedule. A project that remains inactive may be paused, rescheduled, or subject to a restart fee where stated in the proposal.


4. Fees, taxes, and payment

Fees and currency are confirmed in the proposal. USD figures shown on the website are guides until a proposal confirms the final billing currency.

Invoices are due according to the agreed schedule. Work may be paused when a payment is overdue. Deposits or booking payments are normally non-refundable once capacity has been reserved and work has begun, except where applicable law requires otherwise or the written agreement states differently.

The client is responsible for applicable taxes, bank charges, payment-provider charges, and currency-conversion costs unless the proposal states otherwise.


5. Changes and additional work

Reasonable revisions within the agreed allowance are included. Feedback should be consolidated and relate to the approved scope.

New directions, additional pages, repeated reversals, extensive content changes, new integrations, or work requested after approval may require a change order, additional fee, or revised timeline. No material additional work is undertaken without written agreement.


6. Timelines and launch dates

Timelines are good-faith estimates based on the information available when the project is agreed. A launch date depends on timely content, approvals, access, third-party systems, and payment.

Cosmic Build is not responsible for delays caused by the client, hosting companies, registrars, software vendors, external contractors, platform outages, force majeure events, or circumstances outside reasonable control.


7. Third-party services

Projects may rely on hosting providers, domain registrars, plugins, themes, analytics platforms, payment services, email tools, scheduling systems, fonts, APIs, and other third-party products.

Third-party services are governed by their own terms, availability, pricing, privacy practices, and technical limits. Unless expressly included, the client is responsible for purchasing and maintaining required third-party accounts and licences.

Cosmic Build cannot guarantee that a third-party product will remain available, unchanged, compatible, or free of defects.


8. Performance, SEO, and commercial results

The studio applies the standards and deliverables agreed for the project but does not guarantee a specific search ranking, traffic level, performance score, conversion rate, revenue figure, lead volume, or business result.

Results are affected by hosting, competition, market conditions, offer quality, pricing, client follow-up, third-party scripts, content, future site changes, and other factors outside the project scope.


9. Acceptance and quality assurance

The client is expected to review deliverables at the agreed checkpoints. A deliverable is considered accepted when approved in writing, published at the client’s direction, or not rejected with a clear description of an in-scope issue within the agreed review period.

Cosmic Build will correct reproducible defects that cause the delivered work to differ materially from the agreed scope, provided they are reported within the warranty or support period stated in the proposal.


10. Intellectual property

The client retains ownership of materials it supplies. Upon full payment, the client receives the rights to the final custom website deliverables described in the proposal, subject to third-party licences and any specifically excluded studio materials.

Pre-existing methods, reusable systems, internal tools, templates, processes, know-how, code libraries, and general design components remain the property of their original owner. Open-source and third-party assets remain subject to their applicable licences.


11. Portfolio use

Unless confidentiality has been agreed in writing, Cosmic Build may identify the client and display the completed public work in its portfolio, social channels, proposals, and case studies. Sensitive business information and unpublished results will not be disclosed without permission.


12. Confidentiality

Each party agrees to use reasonable care with confidential information received for the project and to use it only for the relevant business purpose. This does not apply to information already public, independently developed, lawfully received from another source, or required to be disclosed by law.


13. Security and access

The client should provide access through secure methods and remove unnecessary accounts after handover. Passwords, payment details, and sensitive information should not be sent through ordinary forms or unsecured messages.

Reasonable security practices are used, but no website, plugin, hosting environment, or online system can be guaranteed completely secure.


14. Support and maintenance

Ongoing updates, monitoring, backups, security work, content changes, and compatibility fixes are included only when stated in the proposal or an active Care Plan.

After handover, the client is responsible for maintaining the website unless an ongoing agreement is in place. Changes made by the client or another provider may fall outside any included defect-correction period.


15. Suspension and termination

Either party may terminate according to the written project agreement. Cosmic Build may pause or terminate work for overdue payment, abusive conduct, unlawful requests, repeated failure to provide required materials, security concerns, or a serious breach of the agreement.

On termination, the client must pay for work completed, committed third-party costs, reserved capacity where applicable, and any other amount due under the agreement. The treatment of deposits, unfinished files, licences, and handover materials follows the proposal and applicable law.


16. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, including lost profit, lost opportunity, lost data, or reputational damage arising from the services.

To the maximum extent permitted by law, the total liability of Cosmic Build arising from a specific project will not exceed the fees actually paid for that project during the period stated in the governing agreement, except where liability cannot lawfully be limited.


17. Indemnity

The client agrees to be responsible for claims arising from client-supplied content, unlawful business practices, intellectual-property infringement in supplied materials, or use of the website outside the agreed purpose, except to the extent caused by Cosmic Build’s breach.


18. Governing law and disputes

These terms and the related agreement are governed by the laws of [Jurisdiction], and disputes are subject to the courts of [Jurisdiction], unless mandatory law requires otherwise.

Before formal proceedings, both parties should attempt in good faith to resolve a dispute through written discussion and, where suitable, mediation.


19. General terms

Neither party may assign the agreement without the other party’s consent, except as part of a genuine business transfer or where the agreement permits it. If one provision is unenforceable, the remaining provisions continue. A failure to enforce a right is not a waiver of that right.

Electronic approvals and signatures may be used. The proposal, these terms, and any agreed change orders form the complete agreement for the services.
